I was recently testing a scenario where the CRM 4.0 server was upgraded to CRM 2011 while the CRM Outlook clients were kept at CRM 4.0 for a period of time. I found through my testing that all CRM Outlook clients that had Outlook 2010 installed had their Offline, and Outlook filters grayed out after the server was upgraded; customers could experience this issue in both CRM on premise and online environments. I've included a screenshot below that shows the grayed out filters below:
There are two workarounds if you find yourself in this scenario:

Hi - I have upgraded from CRM4 to CRM2011 and installed the outlook client. We had local data groups setup but now I cannot see them or even save any Outlook filters. Has anyone had issues with this before?
I'm not aware of a known issue that would cause the results that you are seeing. I do know that there was a similar issue with a pre-RTM build. I'd recommend verifiying that you are upgrading from v4 to the RTM version of CRM 2011. If you are dealing with an RC build, I believe the CRM Support team has scripts to resolve the issue. You can find the most current CRM 2011 builds at:
CRM Outlook Client: www.microsoft.com/.../details.aspx
CRM Server: www.microsoft.com/.../details.aspx
I hope that helps,
Jon
