Win32s is an extension set for Windows 3.11 that enables you to run specific 32-bit applications under Windows 3.11.
If you need to run an application that needs Win32s under Virtual PC - one of the first issues you will encounter is that Win32s v1.3 will not work under Virtual PC. I do not know what the problem is here - however - Win32s v1.25 does run just fine.
so if you need to use Win32s you should get v1.25 from the following link:

Hi Ben. I'm new to this so forgive me if I've posted in the wrong place. Hyper-V Server 2008 R2 SP1 does not recognise the hardware virtualisation offered by my Intel S1200BTL board. Any solutions?
