&lt;p&gt;I've figured out why you and I are getting the same error.&lt;/p&gt;
&lt;p&gt;We're running the Enterprise Trial version of Sharepoint 2007. The disk my department ordered is for the Standard Release, not the Enterprise Release. Therefore, the key cannot be used to upgrade from Enterprise to Standard.&lt;/p&gt;

My problem seemed to be with the index server being in a hung state. It could have happened after the first initial try. But after rebooting it this morning while i had a Sharepoint tech on the line, i ran the license conversion and it went through. But I still got the failed message. So not sure why it still said failed. But we seem to be good to go!&lt;/p&gt;
